Can you give a Texas sales tax exemption certificate if you don’t have a sales tax permit

In Texas, you generally cannot properly issue a resale exemption certificate if you do not have a Texas Sales and Use Tax Permit.

Here is the rule under Texas Comptroller of Public Accounts guidance:

1. Resale Certificates (Most Common Exemption)

To issue a Texas resale certificate, the buyer must have a valid Texas Sales Tax Permit.

A proper resale certificate must include:

  • The buyer’s Texas Sales Tax Permit Number
  • The buyer’s name and address
  • Seller’s name
  • Description of items purchased for resale
  • Signature and date

If you do not have a permit, you legally cannot claim the resale exemption, because the seller must be able to verify that you are registered to collect sales tax when you resell the item.

2. Other Types of Exemption Certificates

Some other exemptions do not require a sales tax permit, for example:

  • Government entities
  • Non-profits with exemption letters
  • Manufacturers claiming certain production exemptions
  • Agricultural exemptions
  • Direct payment permit holders

These use different exemption forms, not a resale certificate.

3. What Happens if Someone Uses One Without a Permit

If a buyer gives a resale certificate without a permit, it can create problems:

  • The certificate is invalid
  • The seller can become liable for the tax
  • The buyer may be liable for tax + penalty for misuse

Texas specifically warns sellers not to accept resale certificates without a permit number.

4. Limited Edge Case

An out-of-state business without a Texas permit may sometimes issue a resale certificate using their home-state sales tax ID, but only if:

  • They are not required to be registered in Texas, and
  • The purchase is for resale outside Texas.

Once the business has Texas nexus, they must obtain a Texas permit.
